1. Definitions

For the purposes of this Agreement, the following terms carry the meanings set out below:

"We", "Us", "Our"

— Suep San, a legal services business operating at 200 Phetkasem Road, Hat Yai, Songkhla 90110, Thailand.

"Service"

— any legal support or consultation service offered by Suep San, including the Family Wishes Consultation, Succession Document Support, and Complete Succession Support.

"User" / "You" / "Client"

— any individual or family who engages with this website or retains our services.

"Content"

— all text, materials, guidance, documents, and other information made available through our website or during a service engagement.

"Agreement"

— these Terms & Conditions as published on this page, together with any written service engagement letter provided to you separately.

2. Acceptance of Terms

By using this website or engaging our services, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, we kindly ask that you refrain from using our services and contact us to discuss any concerns.

• You must be at least 18 years of age, or the age of majority in your jurisdiction, to enter into this Agreement.
• You represent that you have the legal capacity to agree to these terms on your own behalf or on behalf of a family you represent.
• If you are engaging our services on behalf of a deceased person's estate or a third party, you confirm that you are authorised to do so.

3. Service Description

Suep San provides inheritance legal support services in Thailand. Our three service tiers are:

Services are available in Hat Yai, Songkhla and surrounding areas of southern Thailand. We serve clients communicating in Thai and English. Remote consultations may be arranged at our discretion.

4. User Responsibilities

To allow us to serve you well, we ask that you:

• Provide accurate, truthful, and complete information relevant to your matter.
• Inform us promptly of any changes in your circumstances that may affect our work.
• Use this website and our services only for lawful purposes.
• Refrain from attempting to access, copy, or distribute any proprietary materials from our website without written permission.
• Not engage us to facilitate anything unlawful, deceptive, or contrary to Thai law or public policy.
• Treat our staff with respect and courtesy throughout our engagement.

5. Intellectual Property

All content on this website — including text, structure, design, and materials — is owned by or licensed to Suep San and is protected under applicable Thai and international copyright law.

• You are granted a limited, personal, non-transferable licence to access and read the content on this website for your own informational use only.
• You may not reproduce, republish, adapt, distribute, or commercially exploit any part of this website's content without our prior written consent.
• Documents prepared by us specifically for your matter remain subject to professional privilege. Ownership of such documents will be clarified in your service engagement letter.

6. Payment Terms

• All prices are stated in Thai Baht (฿) and are inclusive of applicable VAT unless stated otherwise.
• Payment terms and accepted methods will be confirmed in writing at the time of engagement.
• Where a deposit is required, services will commence upon receipt of that deposit.
• Refunds, if applicable, will be considered on a case-by-case basis depending on the stage of work completed. We will always aim to treat you fairly in this regard.
• Prices on this website are indicative. A written quotation will be provided before any commitment is made.

7. Service-Specific Terms

The following terms apply specifically to our inheritance legal services:

• Scope: The scope of each engagement will be agreed in writing before we begin work. Any additional requests that fall outside the agreed scope may require a separate arrangement.
• Timelines: Timelines for document preparation and formal steps depend on third-party institutions such as courts and government offices. We cannot control these processes but will keep you informed throughout.
• Confidentiality: All information shared with us is treated as strictly confidential and subject to professional duty of confidentiality under applicable Thai law.
• Changes to scope: If your circumstances change and the scope of work needs to be adjusted, we will discuss any implications with you openly before proceeding.
• Sensitive matters: We recognise that inheritance matters often arise following bereavement. We will proceed at a pace that respects your family's situation.

8. Disclaimers

We provide our services with care and professionalism. However:

• Information on this website is provided for general guidance only and does not constitute formal legal advice.
• Legal outcomes in inheritance matters depend on many factors, including court decisions and applicable law, which are outside our control. We make no representations about specific outcomes.
• We are not liable for delays caused by third-party institutions, government processes, or circumstances beyond our reasonable control.
• This website is provided "as is" and we do not warrant that it will be error-free or uninterrupted.

9. Limitation of Liability

To the extent permitted by Thai law:

• Our total liability to you in connection with any service engagement shall not exceed the amount you have paid us for that specific engagement.
• We shall not be liable for indirect, consequential, or incidental losses, including loss of opportunity, arising from the use of our services or this website.
• Nothing in these terms limits our liability for fraud, gross negligence, or any matter where liability cannot lawfully be excluded.
• Force majeure: we shall not be in breach of this Agreement where performance is prevented or delayed by circumstances beyond our reasonable control, including natural disasters, changes in law, or government action.

10. Indemnification

You agree to indemnify and hold harmless Suep San, its staff, and representatives from any claims, losses, or expenses — including reasonable legal costs — arising from your breach of this Agreement, your misuse of our services, or any false or misleading information you provide to us in connection with your matter.

11. Termination

• Either party may end a service engagement with reasonable written notice, subject to the terms of any written engagement letter.
• We reserve the right to discontinue a service engagement if we become aware of any unlawful purpose, persistent breach of these terms, or conduct that makes it impractical to continue.
• Upon termination, any fees for work already completed shall remain payable.
• Provisions relating to confidentiality, intellectual property, and liability shall survive termination of this Agreement.

12. Dispute Resolution

If a concern arises, we ask that you contact us first so that we may resolve the matter informally and promptly.

• Governing law: This Agreement is governed by the laws of the Kingdom of Thailand, including the Civil and Commercial Code and relevant consumer protection legislation.
• Jurisdiction: Any formal disputes that cannot be resolved informally shall be subject to the jurisdiction of the courts of Songkhla Province, Thailand.
• Informal resolution: We commit to responding to any written concern within 10 business days and to engaging in good faith to find a fair resolution.
• Mediation: If informal resolution is unsuccessful, the parties may agree to refer the matter to a mutually acceptable mediator before pursuing formal proceedings.

13. General Provisions

• Entire Agreement: These terms, together with any written engagement letter, constitute the entire agreement between you and Suep San in respect of the relevant services.
• Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full effect.
• Waiver: A failure by either party to enforce a right under this Agreement shall not constitute a waiver of that right.
• Assignment: You may not assign your rights under this Agreement to a third party without our prior written consent. We may assign our obligations with reasonable notice to you.
• Notices: Formal notices should be sent by email to [email protected] or by post to our registered address.

14. Changes to Terms

• We may update these Terms & Conditions from time to time to reflect changes in our services or applicable law.
• The revised terms will be published on this page with an updated effective date.
• Continuing to use our services after a change takes effect constitutes acceptance of the updated terms.
• Where a change is material, we will endeavour to provide notice via the contact details you have given us.
